Founding Customer Program Terms

1. Introduction
These Founding Customer Program Terms ("Program Terms") govern your participation in the Billbora Founding Customer Program ("Program"). By applying for or participating in the Program, you agree to these Program Terms.
These Program Terms are supplemental to and incorporate the Billbora Terms of Service and Privacy Policy. In the event of any conflict, these Program Terms take precedence for matters relating to the Program.

3. Eligibility
To participate in the Program, you must:

We reserve the right to verify your eligibility at any time. Providing false or misleading information will result in immediate removal from the Program.
4. What You Receive
4.1 During the Program Period

Note: Third-party fees (such as Stripe payment processing fees) are not included and remain your responsibility.
4.2 After the Program Period (From 1 July 2026)

Prices shown are current as of the date of these Program Terms. If standard pricing changes, your 50% discount will apply to the then-current standard price.
5. Your Obligations
In exchange for Program benefits, you agree to:
5.1 Active Platform Usage
- Use Billbora for genuine business purposes
- Send real invoices to real clients
- Engage with core platform features (invoicing, payments, client management)
Minimum usage expectation: At least one invoice created and sent during the Program Period.
5.2 Feedback Participation
- Share honest feedback about your experience
- Report bugs, issues, or usability problems you encounter
- Respond to occasional feedback requests from our team
5.3 Feedback Call
- Participate in one feedback call (approximately 15 minutes) after your first month of usage
- We will contact you to schedule at a mutually convenient time
- If you are unable to participate, please notify us to arrange an alternative
5.4 Communication
- Maintain a valid email address for Program communications
- Respond to critical Program communications within a reasonable timeframe
6. Feedback and Intellectual Property
6.1 Feedback Licence
By providing feedback, suggestions, ideas, or recommendations ("Feedback") during the Program, you grant Immeka Pty Ltd a perpetual, worldwide, royalty-free, irrevocable licence to use, modify, and incorporate such Feedback into our products and services without compensation or attribution.
6.2 No Confidentiality Obligation
Unless separately agreed in writing, Feedback is not confidential. We are free to use Feedback for any purpose without obligation to you.
6.3 Your Content
You retain ownership of your business data within the Billbora platform (invoices, client information, etc.). Our use of your data is governed by our Privacy Policy.
7. Program Limitations
7.1 Non-Transferable
- Your Program participation cannot be transferred to another person or business
- The 50% lifetime discount cannot be sold, assigned, or transferred
- If your business is sold or changes ownership, the discount does not transfer to the new owner
7.2 One Participation Per Business
- Each ABN may only participate in the Program once
- Creating multiple accounts to claim additional spots is prohibited
7.3 Not Combinable
- The 50% discount cannot be combined with other promotions, discounts, or offers
- The discount applies to subscription fees only, not third-party fees
8. Discount Conditions
8.1 Continuous Subscription Required
The 50% lifetime discount remains valid only while you maintain a continuous paid subscription. "Continuous" means:
- No gap in subscription of more than 30 days
- Account remains in good standing (no payment failures exceeding 14 days)
8.2 Loss of Discount
You will permanently lose the 50% discount if:

| Fraudulent activity | Immediate discount revocation and account termination |
Once forfeited, the discount cannot be reinstated. You may continue using Billbora at standard pricing.
8.3 Downgrade and Upgrade
- You may change subscription tiers at any time
- The 50% discount applies to whichever tier you select
- Downgrades take effect at the end of your current billing period
- Upgrades take effect immediately with prorated billing
9. Termination
9.1 Your Right to Leave
You may leave the Program at any time by:
- Cancelling your Billbora account, or
- Notifying us at support@billbora.com
If you leave during the Program Period, you forfeit all Program benefits including the 50% lifetime discount.
9.2 Our Right to Remove Participants
We may remove you from the Program if you:
- Fail to meet eligibility requirements
- Breach these Program Terms or the Terms of Service
- Engage in fraudulent, abusive, or illegal activity
- Fail to meet the minimum usage expectation without reasonable explanation
- Provide false or misleading information
We will provide reasonable notice before removal, except in cases of fraud or serious breach.
9.3 Program Modification or Termination
We reserve the right to:
- Modify these Program Terms with 30 days' notice
- Extend the Program Period
- End the Program early with 60 days' notice
If we end the Program early, participants in good standing will retain the 50% lifetime discount.
10. No Warranty or Guarantee
10.1 Platform Provided "As Is"
During the Program Period, the Billbora platform is provided "as is" without warranties of any kind. As an early-stage product, you may experience:
- Bugs and software errors
- Feature changes or removals
- Service interruptions
- Data migration requirements
10.2 No Uptime Guarantee
We do not guarantee specific uptime during the Program Period. We will make reasonable efforts to maintain service availability but are not liable for interruptions.
10.3 Australian Consumer Law
Nothing in these Program Terms excludes, restricts, or modifies any guarantee, right, or remedy you may have under the Australian Consumer Law that cannot be excluded by agreement.
11. Liability
11.1 Limitation
To the maximum extent permitted by law, Immeka Pty Ltd's total liability to you arising from or related to the Program shall not exceed AUD $100.
11.2 Exclusion
We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your participation in the Program.
12. Data and Privacy
12.1 Application Data
When you apply for the Program, we collect:
- Business name and ABN
- Contact name and email address
- Business type and size
12.2 Usage Data
During your participation, we may:
- Analyse platform usage patterns (anonymised and aggregated)
- Use feedback to improve our products
- Contact you for feedback and support purposes
12.3 Privacy Policy
All data collection and processing is governed by our Privacy Policy. By participating, you consent to data practices described therein.
13. Governing Law
These Program Terms are governed by the laws of New South Wales, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of New South Wales, Australia.

15. Acceptance
By applying for the Founding Customer Program, you confirm that you:
- Have read and understood these Program Terms
- Meet the eligibility requirements
- Are authorised to bind your business to these terms
- Agree to the Terms of Service and Privacy Policy
- Accept the obligations set out in Section 5
These Founding Customer Program Terms are effective as of the date you are accepted into the Program.
